MusicMate Terms of Service

These terms include binding arbitration and a class action waiver.

These are the terms of service for musicmatehq.com/terms. The same words are shown in the app.

Who we are

MusicMate is a band management app. It helps a band share a calendar, chat, contacts, songs, setlists, and practice audio.

The service is offered by Frederick Leroy Webb Jr., doing business as MusicMate. Contact us at support@musicmatehq.com.

Accepting these terms

By creating an account or tapping I agree, you accept these Terms of Service and the Privacy Policy. If you do not agree, do not use MusicMate.

We may update these terms. The date of the version you accepted is stored with your profile. If the version changes, the app asks you to accept the new one before you continue.

Accounts

You sign up with an email address, a password, and a display name. The display name is what the other people in your band see.

You are responsible for the activity on your account and for keeping the password to yourself. Email support@musicmatehq.com if you think someone else is using your account.

One person uses one account. Do not create an account for someone else without their permission.

Your content and band data

You keep ownership of the content you add: band names, calendar events, chat messages, contacts, songs, charts, notes, and audio files.

You give MusicMate permission to store that content and to show it to the other members of the same band, so the app can do its job. You can delete content you added, within the limits of what the band still needs.

You are responsible for having the rights to anything you upload. Do not upload music, lyrics, charts, or recordings unless you have permission to share them with your band.

Content in a band is shared with that band. Another member may be able to edit or delete songs, events, and files, because that is how the shared library works.

Acceptable use

Use MusicMate for your band. Do not use it to break the law, to harass anyone, or to upload anything illegal.

Do not try to join a band without its invite code, do not try to read another band’s data, and do not interfere with the service.

Do not share your password or let a child under 13 use your account.

Subscriptions, the trial, and the free plan

A new band starts with a 14-day trial. During the trial the band can use the paid features.

After the trial, the free plan keeps the calendar, contacts, and chat. On the free plan, chat messages older than 7 days stay stored and are hidden until the band is on a trial or a paid plan again.

When a paid plan is offered, Apple (the App Store) or Google (Google Play) bills it. MusicMate does not charge your card directly. A paid plan renews automatically until you cancel.

Cancel in the Apple or Google subscription settings, not by deleting the app. Cancel at least 24 hours before the renewal if you do not want the next charge. Refunds, if any, are handled by the store under its rules.

Stopping use

You can stop using MusicMate at any time. In the app, open Settings and choose Delete account. You can also ask by emailing support@musicmatehq.com.

We can suspend or close an account that breaks these terms, or that we reasonably believe is harming other people or the service.

If you are the only owner of a band, transfer ownership to another member or delete that band before you delete your account. A band cannot be left with no owner.

Disclaimers

MusicMate is provided as is and as available. We do not promise that the app will always be up, that a message will always send, or that a file will never be lost.

Keep your own copies of important recordings and charts. MusicMate is not a backup service.

We do not give legal, financial, or professional advice. Song titles, setlists, and calendars in the app are your band’s, not a promise about copyright or about a gig.

Limitation of liability

To the extent the law allows, MusicMate and Frederick Leroy Webb Jr. are not liable for indirect or consequential damages, including lost profits, lost gigs, or lost recordings.

Our total liability for a claim about the service is limited to the amount you paid for a MusicMate subscription in the 12 months before the claim, or fifty U.S. dollars if you paid nothing.

Some places do not allow these limits. Where that is the law, the limit is the smallest one that law allows. Nothing here limits liability that cannot legally be limited.

Disputes and arbitration

If you have a dispute with MusicMate, email support@musicmatehq.com and describe the dispute. You and MusicMate will try to resolve it informally for 30 days after that message is received, before either of us starts arbitration.

If the dispute is still unresolved after those 30 days, you and MusicMate agree to resolve it by binding individual arbitration. The arbitration is administered by the American Arbitration Association under its Consumer Arbitration Rules. It is held in Georgia, or by video or phone. The Federal Arbitration Act governs this agreement to arbitrate.

You and MusicMate each waive a jury trial. You and MusicMate each waive the right to participate in a class action, a class arbitration, or any other representative proceeding. The arbitrator decides the individual claim only.

Either of us may bring an individual claim in small-claims court instead of arbitration if the claim stays in that court and meets its rules.

You may opt out of this arbitration agreement within 30 days after you first accept these terms. Email support@musicmatehq.com and say that you opt out of arbitration. If you opt out, the rest of these terms still apply.

These terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. A billing dispute with Apple or Google is handled under that store’s rules.

Children

MusicMate is not for children under 13. Do not sign up if you are under 13. If we learn that an account belongs to a child under 13, we will delete it.
